The contents of the NutriProCan website, training platform, the Services, and any other material provided by NutriProCan are owned by and copyrighted by NutriProCan and its suppliers and may contain trademarks of NutriProCan or others.

Online Training Service and nutrition courses (Services) by NutriProCan is solely to be used via the Thinkific software platform, and the service or course content therein cannot be repurposed, modified, or disseminated orally on any other platform either internally or to a third party at any time without the express written consent of NutriProCan. Using NutriProCan training solutions or any other services does not give you, the customer, or any end user ownership of any intellectual property rights in such Services whatsoever.

Unauthorized use beyond that contained in the previous paragraph may violate copyright, trademark, and other laws.

When the Services enable you to share your content, such as homework, quizzes, exams, projects, other assignments you submit, with NutriProCan, instructors, and/or other users, you retain all intellectual property rights in, and are responsible for, the User Content you create and share.

Services Acceptable Use

NutriProCan online training and courses are only to be used by you, the customer online, and are not to be downloaded or printed. Courses may be purchased for teams or groups to be assigned to the Customer’s team members / groups. The end user creation and assignment will be completed by NutriProCan. Each end user and customer must follow the terms and conditions.

You, the customer, or any end user will not use the services for illegal or inappropriate purposes; sending spam; perpetration of security breaches; hacking; privacy breaches; fraudulent activity; distribution of viruses or other harmful code; transmission, distribution, or storage of any material protected by copyright, trademark, trade secret, or other intellectual property right without proper authorization or rights, or material that is infringing, obscene, defamatory, fraudulent, untruthful, disrespectful, discriminatory, or abusive; any unauthorized access, alteration, theft, corruption, or destruction of files, data, transmission facilities, or equipment,

NutriProCan does not accept competitors such as registered dietitians or nutritionists as customers who offer or plan to offer nutrition counselling, coaching or training for professional development directly or via third party.

Access to the online training courses require a login ID and password generated within the Thinkific platform. It is the responsibility of you, the customer, or any end user to protect that information and use effective passwords that are not easily guessed or discoverable, and keep login IDs and passwords confidential. You the customer or any other end user is responsible for any activity that occurs under their login IDs. If you discover any compromise of login IDs or passwords or suspected unauthorized use of the Services using their identity, you or the end user must change the password and immediately report the event to NutriProCan.

Limitations

The Services are based on current research and best practice field experience, but are not business or health care advice. The Services are intended to supply general information only, and not nutrition coaching or other advice particular to an individual, a particular business entity or environment. The information provided through the online courses is not an alternative to personalized advice from your dietitian, doctor or health care provider. If you suspect you, or your family member is suffering from a medical condition, or you have specific questions about a medical matter, consult your doctor.

 You, the customer, and any other end user is responsible for all uses of the Services and training courses, including how they use, alter, and implement any education, knowledge or documents provided as part of the Services. NutriProCan has no responsibility for any misuse of the Services.

The Services require bandwidth or data usage. You, the customer, or any other end user is responsible for all telecommunications charges incurred from their use of the Services.

All promises made by NutriProCan are contained in this agreement. No promises implied by law (whether described as warranties, conditions, representations, or otherwise, and whether relating to merchantability, fitness, non-infringement, or otherwise) apply.

Unless otherwise explicitly indicated by a credit-granting institution, participation in or completion of professional development courses by NutriProCan do not confer any academic credit. Even if credit is awarded by one institution, there is no presumption that other institutions will accept that credit. NutriProCan or its instructors have no obligation to have courses recognized by any educational institution or accreditation organization.

You or any other end users cannot collect any claimed damages from NutriProCan for any reason (whether under legal theories of contract, tort, negligence, strict liability, operation of law, or otherwise).

The materials appearing on NutriProCan’s website or online course platform could include technical, typographical, or photographic errors. NutriProCan does not warrant that any of the materials on its website are accurate, complete, or current. NutriProCan may change the materials on its website at any time without notice. However, NutriProCan does not make any commitment to update the materials.

You agree to indemnify, defend, and hold harmless NutriProCan and its employees from any and all claims, liabilities, expenses, and damages, including reasonable attorneys' fees and costs, made by any third party related to: (a) your use or attempted use of the Services in violation of these Terms; (b) your violation of any law or rights of any third party; or (c) User Content, including without limitation any claim of infringement or misappropriation of intellectual property or other proprietary rights.

Governing Law

The Services and the NutriProCan websites are governed by the laws of the Province of Ontario, Canada. Any potential legal action shall take place in the courts of the Province of Ontario. 

Sale Details

NutriProCan tries to provide accurate information on its social media, website and in its service descriptions, but errors may occur. NutriProCan reserves the right to change the Services available and prices without any notice or liability. NutriProCan cannot guarantee products or Services advertised will be available when ordered or thereafter. NutriProCan reserves the right at any time to reject, correct, cancel, or terminate any sale for any reason whatsoever. If the Customer orders Services for which the price was incorrectly displayed, NutriProCan will provide the Customer with an opportunity to place an order at the correct price. If the Customer orders Services that are not available, NutriProCan will notify the Customer. NutriProcan reserves the right to limit quantities sold.
